Terms of Service

Welcome to GroupSoup, a product of ProgressGuide Solutions Inc. ("we", "our", or "us"). By accessing or using GroupSoup (the "Service"), including our website at groupsoup.app and any associated applications, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

1. Equal Opportunity

GroupSoup is committed to providing equal opportunities and fostering an inclusive community. We do not discriminate based on race, color, religion, sex, national origin, age, disability, sexual orientation, gender identity, or any other protected characteristic. All users are expected to treat others with respect when using the Service.

2. Description of Service

GroupSoup is a social event planning platform that enables users to:

  • Create, manage, and share events with features including location mapping, capacity limits, pricing, and customizable event types (e.g., potlucks, wine tastings, comedy nights)
  • Send and receive invitations via email or shareable links, and manage RSVPs with statuses including going, maybe, not going, and waitlisted
  • Use adaptive scheduling to propose time slots and let participants vote on availability
  • Create recurring event series with flexible recurrence patterns
  • Connect third-party calendars (Google, Microsoft, iCloud) for scheduling conflict detection
  • Build and manage a friends list, friend groups, and use privacy controls including blocking
  • Share dietary preferences, allergies, and potluck item assignments with event hosts
  • Comment on events and receive in-app and email notifications
  • Purchase and use credits for premium features including venue promotion, digital profile card themes, community event sponsorship, and survey campaigns
  • Create and respond to location-targeted surveys for market research
  • Export events to calendar applications via .ics files and personal iCal feeds

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. Account Registration

To use certain features of GroupSoup, you must create an account. You may register using your email address or by signing in through a third-party provider (Google, Facebook, or Microsoft). When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security and confidentiality of your login credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

You must be at least 13 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content & Conduct

You are solely responsible for all content you submit, post, or share through GroupSoup, including event details, comments, profile information, images, and survey responses. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content as necessary to operate and provide the Service.

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Post content that is defamatory, obscene, threatening, harassing, or that infringes on the intellectual property rights of others
  • Create events or content that promote illegal activities, violence, or discrimination
  • Upload malicious code, viruses, or any software intended to damage or interfere with the Service
  • Attempt to gain unauthorized access to other users' accounts or any part of the Service
  • Use automated means (bots, scrapers, crawlers) to access or interact with the Service without our prior written consent
  • Interfere with or disrupt the Service or the servers and networks connected to it
  • Impersonate any person or entity, or falsely represent your affiliation with a person or entity
  • Abuse the credits system, including creating fraudulent transactions, exploiting survey rewards, or manipulating credit balances

5. Events & Invitations

Event hosts are responsible for the accuracy and legality of their event information, including descriptions, pricing, locations, and capacity. GroupSoup serves as a platform for event organization and does not endorse, guarantee, or assume liability for any events created by users.

By creating an event with pricing, you represent that you have the right to charge the stated amounts and that any associated goods or services will be provided as described. GroupSoup is not responsible for disputes between event hosts and attendees regarding payments, refunds, or event quality.

When you invite others to an event, you are responsible for ensuring you have appropriate authorization to share their contact information (e.g., email addresses) with the Service.

6. Credits, Purchases & Payments

GroupSoup offers a credits system that allows you to purchase virtual credits for use within the Service. Credits may be used for premium features including venue promotion, digital profile card themes, community event sponsorship, and survey campaigns.

  • Credit purchases are processed through Stripe and are non-refundable except as required by applicable law
  • Credits have no cash value and cannot be transferred to other users or redeemed for cash
  • We reserve the right to modify credit pricing, features, and the availability of purchasable items at any time
  • Unused credits remain in your account until used or until your account is terminated
  • Survey creators are responsible for ensuring adequate credit balance to fund survey rewards

7. Third-Party Integrations

GroupSoup integrates with third-party services to enhance functionality. Your use of these integrations is subject to the respective third-party terms:

  • Calendar connections (Google Calendar, Microsoft 365, iCloud): We access your calendar data in read-only mode solely for scheduling conflict detection. You may disconnect your calendar at any time through Settings.
  • Authentication providers (Google, Facebook, Microsoft): We receive basic profile information when you choose to sign in with these services.
  • Payment processing (Stripe): Credit purchases are processed by Stripe in accordance with their terms and privacy policy. We do not store your full payment card details.
  • Maps (Mapbox): Event locations are displayed using Mapbox mapping services.

We are not responsible for the practices, content, or availability of third-party services. Your interactions with third-party services are governed by their own terms and policies.

8. Privacy & Data

Your use of GroupSoup is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

You acknowledge that certain information you provide (such as your name, profile photo, and RSVP status) will be visible to other event participants. Dietary preferences and allergies are shared with event hosts to facilitate planning but are not disclosed to all attendees.

9. Intellectual Property

All content, features, and functionality of GroupSoup — including text, graphics, logos, icons, images, software, and the overall design and arrangement thereof — are the property of ProgressGuide Solutions Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any part of the Service without our prior written consent, except as permitted by these Terms or applicable law.

10. Blocking & Safety

GroupSoup provides tools to help you manage your safety and interactions on the platform, including the ability to block other users. When you block a user:

  • Existing friendships and pending invitations are automatically removed
  • Events created exclusively by the blocked user are hidden from your view, and vice versa
  • The blocked user is not notified of the block

While we provide these safety features, we cannot guarantee complete prevention of unwanted interactions. If you experience harassment or feel unsafe, please contact us immediately.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or reliability of any content, information, or materials available through the Service, including event details and user-generated content.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROGRESSGUIDE SOLUTIONS INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless ProgressGuide Solutions Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Any content you submit, post, or share through the Service
  • Any event you create, host, or attend through the Service

14. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the laws of British Columbia, Canada. The arbitration shall be conducted in Vancouver, British Columbia.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction. For users in Canada, disputes may also be brought before the courts of Vancouver, British Columbia.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last Updated" date. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

We may also suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia.

17. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and ProgressGuide Solutions Inc. regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.
